  • "Client" refers to any individual or business that engages ALSPEN LLC for its services.
  • "Services" refers to the range of graphic design and marketing services offered by ALSPEN LLC, including but not limited to Brand Identity Design, Digital Marketing Campaigns, Social Media Management, Website Design and Development, Print Design, and SEO and Content Marketing.

Services

ALSPEN LLC provides comprehensive graphic design and marketing services tailored to meet the specific needs of each client. The scope of services, deliverables, timelines, and costs will be outlined in a separate agreement or contract with each client.

Payment Terms

  • Deposits and Fees A non-refundable deposit or advance payment may be required to begin a project. The remaining balance is typically due upon completion of the project, unless otherwise agreed upon in the service contract.
  • Late Payments Payments not received within the agreed timeframe may incur late fees. ALSPEN LLC reserves the right to suspend work or terminate the agreement if payments are not made in a timely manner.

Client Responsibilities

Provision of Information: Clients agree to provide all necessary information, materials, and approvals required for ALSPEN LLC to complete the project.

Timely Feedback: Clients must provide feedback and approvals in a timely manner to avoid delays in the project timeline.

Usage Rights: Clients confirm that they have the rights to any content or materials provided to ALSPEN LLC for use in the project.:

Revisions and Changes

  1. Revisions: The number of revisions included in each project will be specified in the service agreement. Additional revisions beyond this scope may incur extra charges.
  2. Changes: Significant changes to the project scope or objectives may require a new agreement or an amendment to the existing contract, and may affect the project timeline and cost.

Intellectual Property

Ownership: Upon full payment, the client will own the final deliverables. ALSPEN LLC retains the right to use completed projects for portfolio purposes.

License: Clients grant ALSPEN LLC a non-exclusive, royalty-free license to use the client's name, logo, and project details for promotional and marketing purposes.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the project. This obligation continues after the completion of the project.

Termination

  • By Client Clients may terminate the agreement at any time with written notice. Refunds for terminated projects will be handled as per our Refund Policy
  • By ALSPEN LLC ALSPEN LLC reserves the right to terminate the agreement if the client fails to comply with these Terms or any other applicable terms outlined in the service agreement.

Limitation of Liability

  • No Guarantees While ALSPEN LLC strives to deliver high-quality services, we do not guarantee specific results or outcomes. Clients acknowledge that success depends on various factors beyond our control.
  • Indemnity Clients agree to indemnify and hold harmless ALSPEN LLC from any claims, damages, or liabilities arising out of or related to the services provided.

Governing Law

These Terms and any separate agreements shall be governed by and construed in accordance with the laws of the state in which ALSPEN LLC is headquartered, without regard to its conflict of law principles.

Dispute Resolution

Any disputes arising out of or in connection with these Terms or the services provided by ALSPEN LLC shall be resolved through negotiation in good faith. If a resolution cannot be reached, the dispute shall be settled by arbitration in accordance with the rules of the American Arbitration Association.

Changes to Terms

ALSPEN LLC reserves the right to modify these Terms at any time. Clients will be notified of significant changes, and continued use of our services after such changes will constitute acceptance of the new Terms.

Entire Agreement

These Terms, along with any service agreements or contracts, constitute the entire agreement between the client and ALSPEN LLC regarding the use of our services and supersede any prior agreements or understandings.
